The Utah Division of Corporations and Commercial Code, part of the Utah Department of Commerce, handles all entity formations, annual renewals, amendments, and certificates of existence. Utah has no Secretary of State for business filings; all registration and compliance runs through this Division. Online filings use the Business Registration portal with a UtahID account.

Fraudulent renewal mailers

The Division has issued an advisory warning about misleading mailers sent to Utah business owners. The letters carry a QR code that leads to a third-party website resembling the Division's official page and attempts to charge $175 for a business renewal that the Division itself would process for far less. Only initiate registration or renewal through businessregistration.utah.gov, and report any suspicious mailer to corpucc@utah.gov.

Entity formation and filing fees

Utah's formation fees are below the national average: $59 to form a domestic LLC, corporation, or nonprofit corporation. The low annual renewal fee — $18 for LLCs and corporations — is sometimes mistaken for the formation fee, but they are separate charges. Fees below are from the FY2026 schedule effective July 1, 2025; renewal fees marked with an asterisk on the official schedule include a $5 surcharge for the State of Utah's single sign-on portal. Expedited processing reduces turnaround from 3–10 business days to 1–2 business days.
