Wyoming Official SOS WebsiteThe Wyoming Secretary of State's Business Division registers all business entities, processes annual reports, and administers the WyoBiz portal. Online LLC formations activate immediately upon payment; mail submissions are reviewed in the order received, with a maximum processing time of 15 business days. Effective July 1, 2026, the Business Division began offering paid expedited review for eligible paper filings under Wyoming Statutes Title 17, 34, and 40 — but filings that can already be completed online (annual reports, initial formations, UCC/EFS filings) are not eligible, since online filing is already near-instant.

Entity formation and filing fees
Wyoming charges $100 for LLC and for-profit corporation formations. The annual report fee is the greater of $60 or $0.0002 multiplied by Wyoming assets — entities with $300,000 or less in Wyoming assets pay the $60 minimum. Electronic Certificates of Good Standing are free through WyoBiz; certified paper versions are $20. Foreign entity registration runs $150 for LLCs, for-profit corporations, and LPs ($50 for nonprofit corporations). Verify current amounts at sos.wyo.gov before filing.

Wyoming's new expedited filing service (effective July 1, 2026) applies only to eligible paper filings under Title 17, 34, and 40 of the Wyoming Statutes — it excludes filings that can already be completed online, such as annual reports, initial entity formations, and UCC/EFS filings, plus trademark applications and securities filings. Expedited fees are nonrefundable even if a filing is rejected, since they pay for priority examination rather than guaranteed approval.
